- "Engagement" — a scoped advisory project confirmed in writing between teguhad and a client.
2. Acceptance of Terms
By using this website, submitting an enquiry, or entering into an engagement with teguhad, you confirm that:
- You are at least 18 years of age or have the authority to act on behalf of a legal entity.
- You have the legal capacity to enter into a binding agreement.
- The information you provide to us is accurate to the best of your knowledge.
If you do not agree to these terms, you should not use this website or engage our services.
3. Service Description
teguhad provides business advisory services to companies and individuals in Malaysia. Our services include Cost Structure Analysis, Customer Experience Strategy, and Mergers & Acquisitions Advisory, as described in detail on our website.
The scope, timeline, fee, and deliverables of each engagement are agreed in writing before work commences. Service availability is subject to capacity. We reserve the right to decline or withdraw from an engagement where we determine a conflict of interest or material misrepresentation has occurred.
Our services are available to clients in Malaysia and to international clients with Malaysian business interests. We do not guarantee availability in all jurisdictions.
4. User Responsibilities
When using this website or engaging our services, you agree to:
- Provide accurate, current, and complete information in all communications with us.
- Not use this website for any unlawful purpose or in a manner that could harm, disable, or impair its operation.

5. Intellectual Property

Upon full payment for an engagement, clients receive a non-exclusive, non-transferable licence to use the deliverables produced for their own internal business purposes. This licence does not permit resale, redistribution, or use in competing advisory services.
teguhad retains ownership of all background methodologies, frameworks, and proprietary tools used in delivering services, even where incorporated into client deliverables.
6. Payment Terms
- All fees are denominated in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated.
- A 50% deposit is required to confirm an engagement; the remaining balance is due upon delivery of final deliverables.
- Payment is accepted via bank transfer to accounts specified in our engagement letter.
- Invoices unpaid within 30 days of the due date may attract a late fee of 1.5% per month.
- Refund policy: Deposits are non-refundable once engagement work has commenced. If we are unable to complete an agreed engagement due to our own circumstances, a pro-rated refund will be issued.
7. Service-Specific Terms
Scope & Changes: Any material change to the agreed engagement scope must be confirmed in writing by both parties. Additional scope may be subject to additional fees and timeline adjustment.
Client Cooperation: Timely delivery of required information, data, and access is the client's responsibility. Delays caused by incomplete or late provision of materials may affect delivery timelines without impacting our fee.
Confidentiality: Both parties agree to treat all non-public information shared during an engagement as confidential. This obligation survives termination of the engagement for a period of two years.
Professional Standards: Our advisory work is conducted in accordance with generally accepted professional standards for management consulting in Malaysia. We do not provide legal, tax, or audit services; clients should engage qualified professionals for such matters.
8. Disclaimers
Our services are provided on an "as is" and "as available" basis. We do not warrant that our services will meet every specific business objective or produce particular financial results.
Advice and recommendations provided through our engagements are based on the information available to us at the time of the engagement. We are not liable for outcomes arising from the use or non-use of our recommendations.
This website may contain links to third-party resources. We do not endorse or assume responsibility for any third-party content.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, teguhad' total liability arising from or related to an engagement is limited to the fees paid for that specific engagement.
We are not liable for indirect, incidental, consequential, or special damages, including but not limited to loss of profit, loss of business opportunity, or loss of data, even if we have been advised of the possibility of such damages.
Events beyond our reasonable control — including natural disasters, regulatory changes, or communications infrastructure failures — will not give rise to liability.
10. Indemnification
You agree to indemnify and hold harmless teguhad, its directors, employees, and associates from any claims, losses, or expenses (including legal costs) arising from:
- Your breach of these Terms & Conditions.
- Inaccurate or incomplete information provided to us during an engagement.
- Your use of our deliverables in a manner inconsistent with the licence granted.
11. Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination, the client is responsible for fees corresponding to work completed to the date of termination.
We may terminate an engagement immediately, without notice, where the client has materially breached the engagement agreement, provided false information, or where continued engagement would conflict with our professional obligations.
Provisions regarding intellectual property, confidentiality, payment, and liability survive termination of any engagement or these Terms.
12. Dispute Resolution
These Terms and any engagement agreement are governed by the laws of Malaysia. The courts of Malaysia have exclusive jurisdiction over any dispute arising from or in connection with these Terms.
Informal resolution: Before commencing formal proceedings, both parties agree to make a good faith effort to resolve disputes through direct discussion. Please contact us at [email protected] to raise a concern.
Mediation: If informal resolution fails, both parties may agree to refer the matter to a mediator under the Asian International Arbitration Centre (AIAC) Mediation Rules before pursuing litigation.
13. General Provisions
- Entire agreement: These Terms, together with any written engagement letter, constitute the entire agreement between the parties.
- Severability: If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.
- Notices: Written notices under these Terms should be addressed to [email protected] or to our registered office address.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Changes that materially affect client engagements will be communicated directly to affected clients.
Continued use of our website or services after updated Terms are posted constitutes your acceptance of those changes.
